These Rules, Terms and Conditions, and the accompanying online registration form (hereinafter referred to as the "Agreement") set forth the contractual agreement for participating in the 4x4 Offroad Exhibition Dubai (hereinafter referred to as the "Exhibition") between SHARACA FOR EXHIBITION ORGANIZING CO. L.L.C - License No. 1263997 - (hereinafter referred to as the "Organizer") and an exhibitor, sponsor, or participant (hereinafter referred to as the "Exhibitor"). By participating in the Exhibition, the Exhibitor agrees to be bound by this Agreement, and any changes made by the Organizer, who shall have full power to interpret and to make or amend these rules.
1- Exhibition Details:
The Exhibitor acknowledges and agrees to the specific details, including the dates, location, booth number, and any additional requirements or specifications of the Exhibition, as provided by the organizer.
2- Payment and Cancellation:
a. Payment: By submitting or signing the form, the applicant agrees to pay the full fees according to the specified payment amount. To secure booth reservation, payment must be made within 7 days after registration, operating on a first-come, first-served basis. Participants who opt for a downpayment initially must complete the remaining payment 90 days prior to the event date. Failure to complete the full payment may result in cancellation of participation.
b. Cancellation:: If the Exhibitor cancels or fails to make the full payment, no fee refunds will be provided, and any outstanding amounts owed to the organizer must be settled.
c. Any amounts specified in this contract are subject to potential additional taxes or changes in taxation rates that may be enforced at the time of the Exhibition. It is important to clarify that any additional taxation will be the sole responsibility of the Exhibitor, and the Exhibitor will be required to pay such taxes before the commencement of the Exhibition.
d. Upon submission or signature, this agreement becomes legally binding and cannot be altered or canceled. The Exhibitor is obligated to honor the full value of the contract, regardless of any subsequent cancellation.
e. The Organizer has the right to postpone the date and/or change the venue of the exhibition, and this will not be a reason to cancel the exhibitor's participation.
f. Booth prices: As outlined in Appendix B, registrations and payments made within 90 days prior to the event or after the specified date will be deemed as late registrations. Consequently, prices will increase accordingly.
g. Multi-Year Participation Agreement: By selecting a multi-year participation commitment, the Exhibitor agrees to participate in all selected editions. If the Exhibitor cancels or withdraws, the full participation fees for all remaining committed editions shall become immediately due and payable. This commitment shall remain valid in the event of postponement or cancellation of any edition, and the Exhibitor shall have no right to cancel or claim a refund as a result.
3- Booth Allocation:
Booth allocation is at the sole discretion of the Exhibition organizer. The Exhibitor understands and agrees that booth location or size may be subject to change, and no guarantee is made for specific placement or positioning.
4- Exhibiting, Booth Setup and Operation:
a. The Exhibitor shall adhere to the rules and regulations specified by the Exhibition organizer regarding booth design, construction, and safety standards. All modifications or structural changes to the booth must be approved by the organizer.
b. The Exhibitor shall ensure that the booth is staffed during all exhibition hours by competent and knowledgeable personnel. Sharing the same booth with another exhibitor is prohibited.
c. The Exhibitor shall comply with all applicable laws, regulations, and guidelines pertaining to the Exhibition, including but not limited to health and safety regulations, intellectual property rights, and local permits or licenses.
d. Exhibitors are required to remove all display products, decorations, and any items owned by them from their booth at the conclusion of the exhibition immediately. The organizer is not responsible for any loss at the conclusion of the exhibition..
5- Insurance, Liability, Loss & Damage:
a. Insurance: The Exhibitor is responsible for obtaining and maintaining appropriate insurance coverage for its exhibits, personnel, and property during the Exhibition period. The Exhibition organizer shall not be held liable for any loss or damage from any cause including fire, or injury incurred by the Exhibitor.
b. The Exhibitor agrees to indemnify, defend, and hold harmless the Exhibition organizer, their employees, agents, and representatives from any claims, damages, losses, liabilities, and expenses arising out of or related to the Exhibitor's participation in the Exhibition.
c. The Organizer will not be responsible for any loss due to cancellation, abandonment, postponement, or curtailment, in whole or in part, of the exhibition for causes outside its reasonable control, this includes weather conditions, politicalsocial issues,..etc
d. Any loss, damage, or delay that may occur/have occurred during the transport, handling, and clearing of freight shipments into and out of the country where the exhibition is held is not the responsibility of the Organizer. Exhibitors are strongly advised to ensure proper insurance coverage for all their shipments.
e. The Organizer bears no responsibility for conflicts or misunderstandings with the host country authorities or its agents affecting exhibition. By acknowledging this, exhibitor waive claims for losses, understanding the Organizer may have incurred losses as well. Any fees or payments made to the Organizer for the exhibition shall remain the property of the Organizer.
6- Marketing:
By participating in the exhibition, the Exhibitor consents to the Organizer using and displaying its company name, logo, images, products, and services in media coverage, marketing materials, the exhibition website, and social media, in visual, digital, or print formats. This right applies during the year of participation and in future editions, whether or not the Exhibitor participates in them.
7- Intellectual Property:
The Exhibitor warrants that it has obtained all necessary rights, licenses, or permissions for the use of any intellectual property, including trademarks, logos, and copyrighted materials, displayed or used during the Exhibition. The Exhibitor shall be solely responsible for any infringement claims arising from its use of intellectual property.
8- Termination:
The Organizer may suspend or terminate the Exhibitor’s participation at any time, for any reason, including after public announcement. If terminated without cause, prepaid fees shall be refunded as sole compensation. If terminated for breach, rule violations, or inappropriate conduct, no refund shall be issued. The Exhibitor waives any right to contest the termination or seek compensation or damages.
9- Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Exhibition is held. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
10- Entire Agreement:
Upon signing the agreement or submitting the online registration form, the Exhibitor acknowledges that they have read, understood, and agreed to the rules, terms and conditions set forth in this Agreement.
